Amateur Public Performance Licence for 'Florence' the Musical

Complete and email this Agreement as an attachment to: florencethemusical@musician.org

This Agreement comes into effect when you electronically sign this Agreement, email it to florencethemusical@musician.org and we return a signed and dated copy to you.

Read this Agreement carefully before electronically signing at the end. This is a legally binding Agreement for an Amateur Public Performance Licence between:

We grant you permission, subject to the terms in this Agreement, to use the hired material and online script and songs at www.florencethemusical.com in performances, in rehearsals and at home and to perform ‘Florence’ the musical at the above venue on:

(insert dates of performances).

*It is your responsibility to ensure your Performance Venue has a current public performance licence and that you follow the terms and conditions of that licence.

COMPULSORY HIRE MATERIAL

A hard copy of the Script and Vocal Score (script, top lines of songs and piano music) 

Hire fee: £250

COMPULSORY ROYALTY FEES

15% of total ticket sales

OR

minimum £100 royalty per performance.

This rate applies when 15% of total ticket sales is less than £100 per performance.

You email us your completed Royalty Form and we invoice you for the royalties.

OPTIONAL HIRE MATERIAL

OPTIONAL VIDEO LICENCE

(Delete if not required)

The video licence allows you to:

a) Make up to 120 copies from a master video recording of your production for your cast and crew for their personal use only. 

b) Produce a maximum 10 minute video to promote and/or celebrate your Florence production. 

It is strictly forbidden for a video recording of any aspects of your production to be used in any commercial enterprise, including being broadcast or televised without the written permission of Roger Holman Music.

Video licence fee: £120

 

Roger Holman Music is not registered for VAT, so the video licence and hire fees exclude VAT. You agree to pay fees within 14 days of the invoice date.

LICENCE CONDITIONS

1) Roger Holman Music confirms we are authorised to grant this licence to you.

 

2) For quality control and training, we may monitor or record your communications.

 

3) You agree not to advertise, announce, present or sell tickets for any performances until this Agreement is in place.

 

4) The continuation of this Performance Licence is subject to you paying fees and royalties within 14 days of invoice dates.

 

5) Copyright of the musical 'Florence' is vested in the writers and no rights shall be granted to your organisation other than those specifically granted in this Agreement.

 

6) Hire material is emailed or sent to you as one hard copy of the Script and Vocal Score, PDF and MP3 files only. Sufficient copies of your hire material for your production of ‘Florence’ can be copied, printed or downloaded onto electronic devices and used in performances, as a rehearsal aid or at home. With the exception of one hard copy of the Script and Vocal Score, we do not hire paper books or music.

 

7) You are required to compulsory hire a hard copy of the Script and Vocal Score for the whole of the Agreement period. The hard copy and the invoice are sent to you when we return your signed/dated Agreement.

 

8) Other hire material and the invoice will be emailed to you at the agreed times in this Agreement.  

 

9) ‘Florence’ hard copy Script and Vocal Score, downloaded files and printed material must not be circulated outside your organisation. Hired files must be securely deleted on all devices and printed copies must be securely recycled/destroyed at the end of your Agreement. The hard copy of the Script and Vocal Score must be returned to us unmarked and in good condition within 14 days of your last performance. There is a £100 fee, if you fail to return it within 14 days or the copy is marked and in poor condition.

 

10) Compensation cannot be claimed from us if the script, songs and music are not accessible at www.florencethemusical.com because, but not limited to, the website is temporarily unavailable or your wifi signal is weak. The compulsory hire Script and Vocal Score material could be used in these circumstances.

 

11) The title of the musical, ‘Florence’, should be used in full in all publicity.

 

12) ‘Music and Lyrics by Roger Holman and Book by Terence Samuel’ and our website address, ‘www.florencethemusical.com’ should appear prominently and in proximity to the title ‘Florence’ in all publicity. No person, firm, or entity may receive a credit larger or more prominent than the musical title, writers' names and our website address. 

 

13) All publicity, including any poster and theatre programme, should clearly state that it is an 'amateur production by arrangement with Roger Holman Music'.

 

14) ‘Florence’ should be performed in accordance with the published text, songs and music. For the smaller cast, speeches may be combined or reallocated. We welcome innovative casting that reflects the diversity of a wide range of backgrounds.

 

15) If you need to cancel performances and/or terminate your licence you can do so at any time prior to the date of your first performance. Hire fees for the hard copy of the Script and Vocal Score, PDF files and MP3 files already supplied and the video licence are non-refundable. By arrangement with us, you could re-schedule your production and, depending on your requirements, hire fees could be adjusted.

 

16) The video licence allows you to:

a) Make up to 120 copies from a master video recording of your production for your cast and crew for their personal use only. 

b) Produce a maximum 10 minute video to promote and/or celebrate your 'Florence' production.

 

You can use your master video recording and your online video for your organisation's personal use beyond the end of the Agreement period.

 

17) It is strictly forbidden for a video recording of any aspects of your production of ‘Florence’ to be used in any commercial enterprise, including being broadcast or televised, without our written permission.

 

18) You must include the following warning in your programme and announce it audibly to the audience, prior to each performance, ‘Video or audio recording of this production is strictly prohibited’.

 

19) You agree we may require you to feedback to us any performance review(s) you have received and about the usage or services our website provides to help us develop and improve it further.

20) You agree we may require you to send to us, free of charge, a copy of the licensed video master of your performance of ‘Florence’ and good quality hard or electronic copies of programmes, photos, leaflets, posters or other publicity material.

 

21) You agree we may use your material, listed in clauses 19 and 20 above, as part of our publicity. We do not publish personal details, however we may acknowledge your organisation and, if applicable, your performance venue and comment on your material in our publicity.

22) You confirm all persons portrayed in material in clauses 19 and 20 above, have given their permission or have their guardian's permission for us to use them in our publicity.

23) We reserve the right to attend your rehearsals and previews, whilst observing your organisation's authority at your place of rehearsal. If we want to exercise this option, we will give you advance notice of our intention to attend your rehearsals and previews.

 

24) We may require you to provide free of charge, for the benefit of our guests, allocated car parking at your performance venue, if there is public access parking, and supply to us up to 12 complimentary tickets for the best available seats, for each of your public performance(s) of ‘Florence’. We will inform you before your first performance, if we want to exercise this option.

 

25) We shall not be liable to you for any costs, expenses, loss or damage (whether direct, indirect or consequential, and whether economic or other) arising from your exercise of the rights granted to you under this Agreement.

 

You shall indemnify us against all liabilities, costs, expenses, damages and losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation and all interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by us arising out of or in connection with your exercise of the rights granted to you under this agreement and/or your breach or negligent performance or non-performance of this Agreement.

 

26) This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

 

Each party agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement or its subject matter or formation (including non-contractual disputes or claims), unless you and we can agree some other way of sorting the dispute or claim.

 

27) View our Privacy Notice under 'APPLICATION' at www.florencethemusical.com.

 

 

Your electronic signature on this Agreement confirms you are authorised to enter into this Agreement on behalf of your organisation and that you and your organisation have read, understood and agree to the terms in this Agreement.
